Primary ProposalZIP-19, Dissolve the ZKsync Guardians

Abstract

This TPP is a supplementary proposal to ZIP-19, which removes the ZKsync Guardians from their governance roles and requests the dissolution of the Guardians entity. The ZIP sets out the full motivation and specification. This TPP carries the onchain change needed on the Token Governor. It moves the Onchain Veto over TPPs from the Guardians to the ZKsync Foundation.

Motivation

The ZkTokenGovernor stores its veto guardian as an immutable value set at deployment. It cannot be changed in place. The only way to move the veto seat is to deploy a new governor with the new veto guardian and transfer control of the existing Token Timelock to it.

The new governor is a copy of the current one in every other respect. It uses the same ZK token, the same Token Timelock, the same voting delay (3 days), voting period (7 days), proposal threshold (21,000,000 ZK), quorum (630,000,000 ZK) and late quorum vote extension (2 days). The propose guardian stays with the ZKsync Foundation. Only the veto guardian changes, to the ZKsync Foundation Safe on ZKsync Era.

Specification

If approved, this TPP executes six calls on the Token Timelock (0xe5d21A9179CA2E1F0F327d598D464CcF60d89c3d). It first grants the proposer, canceller and executor roles to the new ZkTokenGovernor (0x1C52A302314d78f0dC2aEEbF89851564d81DcaFf). It then revokes the same three roles from the current ZkTokenGovernor (0xb83FF6501214ddF40C91C9565d095400f3F45746). Grants come before revokes, so the timelock is never left without a governor holding these roles.

After execution, all new Token Program Proposals are submitted to the new ZkTokenGovernor. Its veto guardian is the ZKsync Foundation Safe on ZKsync Era (0xF197677d63BF6E2841F5108b8dFd2FD6eCEff74B). The Token Timelock, the assets it holds and the minting permissions it controls are unchanged. The current ZkTokenGovernor will no longer be able to queue, execute or cancel proposals.

This TPP does not affect the capped minters established under TPP-7, as set out in Section 6 of ZIP-19.

The new ZkTokenGovernor is source-verified on ZKsync Era and its bytecode hash is recorded in the zk-governance repository. Before execution, the ZKsync Foundation will confirm that the Token Timelock holds no pending operations and that the new governor has no pending, active or succeeded proposals.

Against. TPP-20 lets the ZKsync Foundation alone veto any Token Program Proposal, including a holder proposal to pause or revoke the TPP-18 minters. Veto power over token decisions should sit with the Token Assembly, not with one multisig. My reasoning: https://forum.zknation.io/t/vovilen-delegate-communication-thread/1225
